Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Blueprint Ledger (the “Service”), a job‑cost tracking web application. By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. The Service
Blueprint Ledger lets general contractors and related users track project budgets, categorize transactions, manage change orders and client payments, and produce client‑facing reports. We actively develop the Service and may add, change, or remove features at any time.
2. Your account
You need an account to use most of the Service. You're responsible for the credentials you use (magic‑link email, Google sign‑in, etc.), for all activity that happens under your account, and for keeping the email address on file current. Don't share your account or let anyone else sign in as you. Notify us promptly if you believe your account has been accessed without your authorization.
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a contract to use the Service.
3. Your content
You retain all rights in the data you put into the Service. jobs, buckets, transactions, proposals, reports, files, and anything else you create or upload (“Your Content”). You grant us a limited, non‑exclusive license to host, store, process, display, and back up Your Content solely so we can operate the Service for you and the teams you belong to.
You represent that you have the right to submit Your Content and that doing so doesn't violate any law or anyone else's rights. You are responsible for the accuracy of Your Content. we don't audit it or verify it against source documents.
4. Acceptable use
You agree not to:
- use the Service to violate any law or anyone's rights, including privacy and intellectual‑property rights;
- upload malware, attempt to disrupt or compromise the Service, or probe it for vulnerabilities without written permission;
- scrape, spider, or otherwise access the Service by automated means except through features we explicitly offer;
- resell, sublicense, or white‑label the Service without our written agreement;
- use the Service to store or process sensitive personal data (government IDs, payment‑card data, protected health information, etc.). It isn't designed for that.
5. Teams and collaborators
The Service supports teams with multiple members and roles (owner, admin, member). If you invite someone to a team, you represent that you have authority to do so, and you're responsible for what the members of your team do inside it. Owners and admins can see, edit, export, or delete the team's data.
6. Fees
Blueprint Ledger may be offered free of charge, as a paid product, or a mix of both. We'll tell you the price before you're charged for anything. Fees, if any, are non‑refundable except where required by law or explicitly stated by us in writing.
7. Third‑party services
The Service relies on third parties (for example, authentication providers, email delivery, database hosting, and cloud infrastructure). Those providers have their own terms and privacy practices. We're not responsible for third‑party services, and their availability can affect the Service.
8. Termination
You can stop using the Service and delete your account at any time. We can suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. On termination, Sections 3, 9, 10, 11, 12, and 13 survive.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We don't warrant that the Service will be uninterrupted, error‑free, or secure, or that Your Content will always be available or accurate.
Blueprint Ledger is not accounting, tax, legal, or financial advice. It's a tool for tracking numbers you put in; you are responsible for the accuracy of your books, your tax filings, and your compliance obligations. Reconcile against your authoritative records.
10. Limitation of liability
To the maximum extent permitted by law, in no event will we, our affiliates, or our suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service, even if we've been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US$100.
11. Indemnification
You'll defend, indemnify, and hold us harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, or your breach of these Terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of California, USA, without regard to its conflict‑of‑laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, for any dispute that isn't required by law to be resolved elsewhere. Each party waives any right to a jury trial.
13. Changes
We may update these Terms from time to time. If we make material changes we'll give you reasonable notice (for example, by email or an in‑app banner) before they take effect. Continuing to use the Service after an update means you accept the new Terms.
